Terms of Service

1. Agreement and Company Information

These Terms of Service ("Terms") are a legal agreement between you and Infera Corp, a Delaware corporation ("Infera," "we," "our," or "us"). These Terms govern your access to and use of our websites, applications, and related services (collectively, the "Services").

By creating an account, clicking to accept, or using the Services, you agree to these Terms. If you are accepting on behalf of a company, firm, or other entity, you represent that you have authority to bind that entity.

2. Eligibility and Account Responsibility

You must be legally capable of entering into a binding contract to use the Services. You are responsible for maintaining the confidentiality of account credentials and for all activities that occur under your account.

You agree to provide accurate account information, promptly update it as needed, and notify us immediately of any suspected unauthorized access or security incident involving your account.

3. Permitted Use and Restrictions

Subject to these Terms, Infera grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes. You may not:

  • Use the Services in violation of law or third-party rights.
  • Attempt to reverse engineer, decompile, or bypass security controls.
  • Interfere with system integrity, performance, or availability.
  • Use automated methods to scrape or exfiltrate data not authorized to you.
  • Upload malicious code, harmful files, or unlawful content.

4. Customer Data and License to Process

You retain ownership of documents, files, and other data you submit to the Services ("Customer Data"). You grant Infera a limited license to host, store, reproduce, process, and transmit Customer Data solely as necessary to provide, secure, maintain, and improve the Services.

This processing may include automated and AI-enabled analysis of Customer Data, including extraction, classification, summarization, and generation of draft outputs. You acknowledge that such processing is a core part of the Services you request.

Unless otherwise expressly agreed in writing, Infera does not use Customer Data to train third-party generalized AI models. Infera may use aggregated or de-identified information to maintain and improve the Services where permitted by law.

5. Intellectual Property

Infera and its licensors retain all rights, title, and interest in and to the Services, including all software, models, interfaces, documentation, and related intellectual property, except for Customer Data and your expressly retained rights.

6. Third-Party Services

The Services may integrate or interoperate with third-party services. Infera is not responsible for third-party products, their content, or their privacy and security practices. Your use of third-party services is governed by their own terms.

Infera may engage third-party infrastructure, analytics, and AI subprocessors to provide the Services, subject to contractual and security controls.

7. Fees and Payment

If you purchase paid Services, you agree to pay all applicable fees and taxes in accordance with the pricing and billing terms presented at purchase or in your order documents. Unless otherwise stated, fees are non-refundable.

We may update pricing from time to time. Any price changes will apply prospectively and communicated in advance where required by law.

8. Legal and Professional Disclaimer

Infera provides software tools to assist legal workflows, but does not provide legal advice, legal representation, accounting advice, or fiduciary services. You are solely responsible for reviewing all outputs, analyses, and generated documents before relying on them in any legal or business context.

AI-generated or automated outputs may contain inaccuracies, omissions, or formatting issues, and may not reflect recent legal developments or matter-specific requirements. You are responsible for independent professional review and final decision-making.

9. Warranties Disclaimer

To the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

10. Limitation of Liability

To the fullest extent permitted by law, Infera will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services, including lost profits, lost data, loss of goodwill, or business interruption.

To the maximum extent permitted by law, Infera's aggregate liability for all claims related to the Services will not exceed the amount paid by you to Infera for the Services in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Infera and its officers, directors, employees, and agents from and against claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, your violation of these Terms, or your infringement of rights of any third party.

12. Suspension and Termination

We may suspend or terminate access for violations of these Terms or for security, legal, or operational reasons. You may stop using the services at any time.

Upon termination, your right to access the Services ends. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, and governing law.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Unless otherwise required by applicable law, disputes arising out of or relating to these Terms will be resolved in state or federal courts located in Delaware, and the parties consent to personal jurisdiction in those courts.

14. Changes to Terms

We may update these Terms from time to time. Continued use of the services after an update constitutes acceptance of the revised Terms.
